GENERAL TERMS

By choosing to use the Internet website www.scoop08.com (“Scoop08.com”) you signify your agreement to abide by all the terms and conditions of these Terms of Use. If you do not agree to these Terms of Use, you may not use Scoop08.com. This Agreement between you and Scoop Media, Inc. (“Scoop Media”), which operates Scoop08.com, has been made in and shall be construed and enforced in accordance with New York law.  You agree that any action to enforce any term of this Agreement shall be brought in federal or state courts located in New York City. 

You acknowledges that this Agreement is supported by reasonable and valuable consideration, the receipt and adequacy of which are hereby acknowledged, including but not limited to the ability to use and access the material published on Scoop08.com, as well as the possibility of Scoop Media’s review, use and/or display of User Content that you submit (as defined below in section 3), and the possibility of publicity and promotion from Scoop Media’s review, use, or display of such User Content. 

Scoop Media may add, remove, or change portions of this Agreement at any time.  All such changes will be posted on Scoop08.com.  It is your responsibility to review this Agreement prior to each use of Scoop08.com.  Your continued use of Scoop08.com now, or following the posting of notice of any changes to these Terms of Use, will indicate acceptance of such rules and any changes.

Scoop Media may change, suspend, or discontinue any aspect of Scoop08.com at any time, including your ability to access features or parts of Scoop08.com without notice or liability.

COPYRIGHT AND INTELLECTUAL PROPERTY

All information and content published on Scoop08.com is intended for your personal, noncommercial use, is protected by copyright pursuant to U.S. and international copyright laws, and is owned or controlled by Scoop Media, its licensors or licensees, or parties otherwise credited as the provider of certain content. You may not publish, copy, reproduce, upload, distribute, transmit, publicly perform, display, create new or derivative works from, modify, sell, transfer or otherwise exploit such content in any way, except that you may download and/or print one copy of the content on one computer for your personal, noncommercial use.

All trademarks, service marks, trade names and trade dress on Scoop08.com are owned or controlled by Scoop Media or its licensors or licensees. 

USER CONTENT

Users may be allowed, at Scoop Media’s discretion, to submit comments, letters, messages or other forms of information (“User Content”) for publication on Scoop08.com.

You acknowledge that any such User Content you submit to Scoop08.com, in any form, may be edited, removed, modified, published, and displayed to the public by Scoop Media. By submitting such User Content, you agree that you have no expectation of privacy with respect to such submission, and you agree not to assert any "moral rights" or similar rights against Scoop Media with respect to any alterations that may be made to your User Content by Scoop Media.

By submitting User Content, you agree to grant to Scoop Media a perpetual, nonexclusive, and irrevocable worldwide license to publish such User Content in any tangible medium of expression, now known or later developed, from which the User Content can be perceived, reproduced, or otherwise communicated, either directly or with the aid of a machine or device, including without limitation the rights to reproduce, distribute, display, publicly perform, archive, cache, index, tag, excerpt, republish, edit, repackage, reprint, revise, or sublicense any User Content in any manner and in any medium Scoop Media sees fit.

You agree that User Content you submit will not be libelous, defamatory, abusive, harassing, threatening, vulgar, obscene, pornographic, or otherwise illegal. You further agree that User Content will not be used in any commercial way, including to advertise or sell any products or services of user or any third party, or to otherwise solicit funds in any way. 

You warrant that the User Content you submit is your original work, that your User Content has not been previously published, and that your User Content will not infringe upon any third party's copyright or other rights, including, without limitation, trademark rights and the rights of privacy and publicity. IN NO CASE SHALL USERS SUBMIT COPYRIGHTED CONTENT (including but not limited to photographs, music files or the like), TRADEMARKS OR TRADE SECRETS OWNED BY THIRD PARTIES WITHOUT THE EXPRESS AUTHORIZATION OF THE THIRD-PARTY OWNER. 

You agree that User Content you submit will not contain any software or other computer files containing any viruses or other harmful component that would impair or damage the Scoop08.com website, Scoop Media’s computers, or the computers of users who access your User Content, or otherwise interfere with other users’ use and enjoyment of Scoop08.com.

You agree to hold harmless and indemnify Scoop Media against any loss, damage, or other expense, including reasonable attorney's fees, that Scoop Media may incur in the event of any breach of these warranties or arising out of any claim alleging that your User Content constitutes an infringement of copyright or contains libelous or other unlawful matter. You further agree to fully cooperate with Scoop Media in responding to and defending against any third party claim relating to User Content you submit.

Scoop Media reserves the right to screen, refuse to post, delete, and/or edit messages that, in its sole discretion, violate any of the terms in this Agreement or any other policies of Scoop08.com or Scoop Media.

Notice and Procedure For Making Claims of Copyright Infringement

It is the policy of Scoop Media to respond to notifications of alleged copyright infringement, in compliance with the Digital Millennium Copyright Act (“DMCA”) and other applicable laws.  Scoop Media’s DMCA compliance policy and contact for notifications of infringement are described in more detail here.

REPRESENTATIONS

Scoop Media cannot review every piece of User Content submitted and posted on Scoop08.com, and is not responsible for that Content, which remains the sole responsibility of the user who submits it.  Scoop Media does not endorse the accuracy or reliability of any User Content.  You agree that your reliance upon any view, opinion, advice, information or representation in any User Content on Scoop08.com shall be undertaken at your own risk. 

Scoop Media shall not be responsible for content at other Internet websites that may be accessed through hyperlinks on Scoop08.com, including those contained in User Content. By clicking any such links, you acknowledge that Scoop Media is not responsible for those websites in any way.  Scoop Media reserves the right to disable links to other websites on Scoop08.com, although it is under no obligation to do so.
